Set terms and conditions, NDA, and payment terms

Configure payment terms, currency, Incoterms, delivery, warranties, insurance, and an optional NDA.

This article shows you how to set the commercial terms of a sourcing event in the Strategic Sourcing module (payment terms, currency, Incoterms, delivery location, warranty, insurance, and performance bond requirements, and custom free-text terms) and how to require a Non-Disclosure Agreement (NDA) that suppliers must accept before they can see the event. Commercial terms are configured in the Terms & Conditions step (step 5) of the event creation wizard; the NDA is configured in the Access Settings of the Core Setup step (step 1).

Where do I set terms and conditions?

Terms and conditions are set on the Commercial Terms & Conditions form in step 5 of the wizard. The form has four areas: Payment Terms, Delivery Terms, Additional Requirements, and Custom Terms. All fields are optional, and every change auto-saves; the header shows "All changes saved" after each edit. The terms you enter here are shown to suppliers as part of the sourcing event, so they price with the same commercial assumptions.

Which payment methods and currencies can I choose?

The Payment Terms section specifies how and when payments will be made. The Payment Method options are:

  • Net 30 Days: payment due 30 days after invoice.

  • Net 60 Days: payment due 60 days after invoice.

  • Net 90 Days: payment due 90 days after invoice.

  • Upon Delivery: payment when goods or services are delivered.

  • Milestone Based: payment tied to agreed project milestones.

  • Custom Terms: describe your own payment arrangement in Custom Terms.

The Currency select offers USD - US Dollar, EUR - Euro, GBP - British Pound, CAD - Canadian Dollar, and AUD - Australian Dollar. Note that this is the commercial-terms currency; each pricing lot also has its own currency setting for the pricing grid.

Which Incoterms are supported?

The Incoterm defines which party pays for and bears the risk of transport, insurance, and customs. The following table lists the 11 Incoterms you can select in Delivery Terms and what each means.

EXW

Ex Works: buyer collects at the seller's premises and bears all transport cost and risk.

FCA

Free Carrier: seller hands goods to the buyer's carrier at a named place.

CPT

Carriage Paid To: seller pays carriage to the destination; risk passes at handover to the first carrier.

CIP

Carriage and Insurance Paid To: as CPT, plus the seller insures the goods.

DAP

Delivered at Place: seller delivers to the named place, ready for unloading.

DPU

Delivered at Place Unloaded: seller delivers and unloads at the named place.

DDP

Delivered Duty Paid: seller bears all costs including import duties.

FAS

Free Alongside Ship: seller places goods alongside the vessel at the port of shipment.

FOB

Free on Board: seller loads the goods on board; risk passes at the ship's rail.

CFR

Cost and Freight: seller pays freight to the destination port; risk passes on loading.

CIF

Cost, Insurance and Freight: as CFR, plus the seller insures the goods.

Below the Incoterm you enter the Delivery Location as free text, for example "Houston, TX".

What are the additional requirements?

The Additional Requirements section holds three compliance checkboxes that tell suppliers what they must include in their offer: Warranty Required, Insurance Required, and Performance Bond Required. All three are off by default. Enable each one that applies; suppliers see them listed with the event's terms.

How do I add custom terms?

Custom Terms is a free-text field for any specific terms not covered by the structured fields above, for example penalty clauses, invoicing instructions, or quality gates. Enter the text in the Custom Terms box; it is shown to suppliers verbatim together with the rest of the terms. Keep it short and factual, and put detailed contractual documents into the event's reference documents instead.

How do I require an NDA, and what does it mean for suppliers?

An NDA requirement blocks access to the sourcing event until the supplier accepts your Non-Disclosure Agreement. To set it up:

  1. Open the Core Setup step (step 1) and go to Access Settings.

  2. Enable "Require NDA signature before accessing documents".

  3. Select an NDA document from the list, or choose Upload new NDA document and upload the file. Only PDF files are accepted, and you can give the document a name and description.

  4. Publish the sourcing event as usual. The Final Review summary shows "NDA Required - Suppliers must sign before accessing details".

Suppliers who open their invitation then see an NDA Required screen before any event content: they can download the NDA PDF, must confirm "I have read, understood, and agree to be bound by the terms of the Non-Disclosure Agreement", and then choose Accept NDA & Continue or Decline & Exit. A supplier who declines does not get access to the sourcing event and cannot submit a response.
